  1. Introduction: These terms and conditions stipulated herein (“Terms and Conditions”) govern the purchase of the Product(s) from TNGD by the Merchant via the Merchant Dashboard. By placing an order for any Products(s) here, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
  1. Interpretation: The Terms and Conditions shall be read together with the Terms of Access for Merchant Portal that can be accessed here (“General Terms”) to the effect that any interpretation or construction of both parties’ relationship shall make the best commercial sense. Use of specific features or functions within the TNG eWallet may be subject to other relevant terms and conditions.
  1. Purchased Products: The Product(s) listings on the Merchant Dashboard are subject to availability. TNGD reserves the right to limit the quantities of any goods or products that we offer. TNGD also reserves the right to discontinue any Product at any time without notice. Descriptions, images, and other details of Products are provided for informational purposes only and may be subject to change without prior notice. TNGD reserves the right to change or update information at any time without prior notice.
  1. Price: All prices of the Product(s) are in Malaysia Ringgit (MYR) and are exclusive of any applicable taxes, duties, and shipping costs. Prices are subject to change(s) without notice as determined by TNGD from time to time. TNGD reserves the right to charge any applicable taxes, duties, or levies imposed under the relevant laws to you in connection with the purchase of any Product(s). Such additional charges, where applicable, will be calculated and applied at Checkout (as defined hereunder), and you will be responsible for bearing these costs in accordance with the prevailing rates at the time of purchase. Delivery cost will be calculated and displayed at Checkout (as defined hereunder) and you are responsible for paying for all delivery and handling charges associated with your order.
  1. Order Placement: You may purchase the Products by placing and completing the order on the Merchant Dashboard. Prior to the order acceptance, the Merchant Dashboard will provide you with an order confirmation page (“Checkout”) to review and rectify any error or make any modification to the order. It is your responsibility to ensure all details provided at the time of placing an order are accurate and complete.
  1. Payment: Once you have successfully placed the order(s) for the purchase of the selected Product(s), the payment of such purchase will be deducted automatically from your TNG eWallet account.
  1. Order Confirmation: An order is only confirmed when you receive an order confirmation notification from TNGD via the TNG eWallet mobile application and such order is deemed final and irrevocable by you and it shall not be subject to any cancellation, amendment, or modification by you. For the avoidance of doubt, TNGD reserves the right to reject or cancel any order at its sole discretion with notification to you. In the event of such cancellation, TNGD will proceed with the necessary action including but not limited to refund the purchase price of such order to your TNG eWallet (as the case may be).
  1. Delivery of Product(s): TNGD shall endeavour to deliver the purchased Product(s) to you in Malaysia within fourteen (14) Business Days (not including the payment date) from the date of payment made by you. TNGD shall not be held liable for any loss, non-delivery, or mis-delivery of Product(s) resulting from inaccurate, incomplete, or outdated delivery details provided by you at the time of purchase. Any costs associated with re-delivery or retrieval of Products due to your error shall be borne solely by you to be exercised at TNGD’s discretion. While TNGD will make reasonable efforts to ensure timely delivery, TNGD shall not be liable for any loss, damage, or costs incurred due to delays in delivery or non-delivery caused by third-party courier services or events beyond TNGD’s reasonable control. Notwithstanding the above, in the event a Product is confirmed lost in transit by the authorized courier (and not due to your error), TNGD may, at its sole discretion, arrange for a one-time replacement as set out in Clause 11 and you shall be liable for the relevant costs if the lost in transit is due to your error to be exercised at TNGD’s discretion.
  1. Damaged Product(s) Received: If the purchased Product(s) is/are significantly damaged during the delivery process or damaged due to manufacturing error and is reported within forty-eight  (48 ) hours from the date of the receipt, you shall be entitled to a one-to-one replacement of the damaged Product(s). You must provide proof of damage and contact the authorized vendor’s helpdesk for assistance. Upon investigation by TNGD and the authorized vendor, and subject to the validation of the claim, a replacement Product will be dispatched to you following the same address, at no additional cost.
  1. Wrong/Incorrect Purchased Product(s) Received: If you have received any wrong/incorrect Product(s) due to TNGD’s error, and the issue is reported within forty-eight (48) hours from the date of receipt, you shall provide a written complaint to our user support team informing the same. You will be required to provide the relevant information requested by TNGD, including, but not limited to, the proof of wrong/incorrect Product(s) received and the correct purchased/order number.  Upon approval of your claim by TNGD, you will be required to print the necessary courier airway bill or shipping document provided by TNGD and to paste the said printed courier airway bill or shipping document on the parcel of the wrong/incorrect Products received. This is necessary for the re-collection or courier pick-up by TNGD’s authorized courier. Once the process is completed, the correct Product(s) will be dispatched to your original delivery address at no additional cost.
  1. Purchased Product(s) Lost in Transit: In the event that the Product is lost during transit, as evidenced by tracking information or other reliable information, TNGD will, at its discretion, make the necessary arrangements so that a replacement is dispatched to you at no additional cost.
  1. Refund: Any Product(s) sold are non-refundable and not exchangeable. The order of the Product(s) may not be cancelled by you once it has/have been made. Refunds will only be issued at TNGD’s sole discretion in circumstances where the order is deemed undeliverable. An order is deemed undeliverable if it is returned to TNGD due to failed delivery attempts by the delivery partner or due to an invalid address or as reasonably determined by TNGD. In such instances, TNGD will refund the cost of the Product to you only; shipping fees and any related administrative charges are strictly non-refundable.
  1. Risk and Title: Risk of loss and title for purchased Products from the Merchant Dashboard shall pass to you upon delivery of the products by our delivery partner provided full payment has been made. TNGD will ship the Product(s) to the delivery address that you have provided during the order process.
  1. QR Code Generation and Printing Services: QR Code printing services are strictly limited to purchases of POSM made directly through the Merchant Dashboard. For such orders, TNGD shall provide the Product with the Merchant’s unique QR Code pre-printed. For any Product(s) acquired through channels or platforms other than the Merchant Dashboard (including but not limited to TNGD’s authorized distributor or third-party platforms), you acknowledge and agree that TNGD is not responsible for the printing of the QR Code. In such cases, you are solely responsible for generating the QR Code via the TNG eWallet and printing it accurately and using the official transparent sticker provided with the Product to ensure the QR Code remains scannable and untampered. TNGD shall not be liable for any transaction failures, scanning issues, or financial losses resulting from your failure to print or apply the QR Code correctly on the Products not purchased from the Merchant Dashboard.
  1. Termination: TNGD reserves the right to terminate or suspend your use of Merchant Dashboard without liability, with prior notice outlining reasons for the termination or suspension, including but not limited to, your breach of these Terms and Conditions; any non-payment by you for the purchase of Product; or when TNGD suspects there is fraudulent, abusive, or illegal activity with respect to the Merchant Dashboard. Upon termination, your right to use the Merchant Dashboard will immediately cease. All provisions of these Terms and Conditions which by their nature should survive termination shall survive termination.

Amendment: TNGD reserves the right at its absolute discretion to vary, add to, alter or otherwise amend any of these Terms and Conditions or any part thereof by giving you twenty-one (21) days prior notice of such changes, additions or deletions. You shall have no recourse whatsoever against TNGD for any loss as a result of such variation, addition, deletion, alteration, amendment, or otherwise. You are advised to visit the TNGD’s website from time to time to keep updated on the latest variation of these Terms and Conditions (if any). Your continued use of the Merchant Dashboard after the effective date of the amendments to these Terms and Conditions shall be deemed to be your express acceptance of such amendments. Please do not make any purchase or access the Merchant Dashboard if you do not accept such amendments. TNGD shall not be liable to you for any claims, losses, damages, expenses or costs in whatsoever manner resulting therefrom.
  1. Notices: All notices under these Terms and Conditions are deemed served to you immediately after it is posted on TNGD’s website or any other online or other medium, which TNGD may introduce from time to time.
  1. Limitation of Liability: To the maximum extent permitted by applicable law, TNGD’s liability for any claims arising from the purchase of Products via the Merchant Dashboard shall not exceed the amount paid by you for the specific purchased Item in question. TNGD shall not be liable to anyone for any incidental, special, consequential or any other losses or damages of any kind as caused by any Merchant(s).
  1. Indemnification: To the maximum extent permitted by applicable laws, you agree to indemnify, defend, and hold harmless TNGD, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, proceedings, demands, damages, losses, costs, expenses, or fees (including reasonable legal fees) that such parties may incur as a result of or arising out or in any way connected with your access to or use of the Merchant Dashboard.
  1. Usage of Product(s) Purchased: You shall ensure that the Product(s) are not tampered with, damaged, modified or changed in any way whatsoever. You undertake not to share the Product(s) with any other businesses or individuals without the prior consent of TNGD in writing. TNGD shall not be liable in any way whatsoever for any losses or damages that may arise or be suffered by you due to your failure to comply with the terms of this Clause. Notwithstanding anything to the foregoing, you further undertake to duly and diligently comply with all guideline(s), training(s), information material(s), manual(s) and any other similar documents as may be issued from time to time by TNGD.
  1. Transaction(s): In no event shall TNGD be liable or responsible for the transactions effected through the Product(s) such as the transactions made via the TNG eWallet QR Code made between you, your customer(s) and/or any third party. All disputes, claims, and refund requests arising from the transactions made using the Product(s) shall be managed and resolved by you, the Merchant directly with your customers or any other third parties. You shall be solely responsible and shall indemnify and/or reimburse your customers and/or any third party for any refunds required thereto (if applicable and whenever necessary). TNGD shall not be responsible for, nor be required to participate in, any dispute between you and your customers or third parties relating to the underlying transaction, including issues of quality, fitness for purpose, quantity, or delivery.
  1. Intellectual Property: All intellectual property rights in the Products and the Merchant Dashboard remain the exclusive property of TNGD. The purchase of a Product does not grant you any rights to TNGD’s intellectual property, except for a limited, non-sublicensable, non-transferrable, non-exclusive and revocable license to display the Item in its original, untampered, and unmodified form for the purpose of facilitating TNGD transactions. TNGD does not grant any license or authorisation to you to use TNGD’s intellectual property in any way whatsoever except as expressly authorized by these Terms and Conditions or with prior approval from TNGD. You further acknowledge and agree that notwithstanding the provision of the QR Code and QR Code Standee, TNGD does not grant any license or authorisation to you to use TNGD’s intellectual property in any way whatsoever except to display the untampered, unmodified or unchanged QR Code and QR Code Standee as instructed by TNGD.
  1. Warranty: Unless expressly stated in these Terms and Conditions, the Merchant Dashboard and all Product(s) purchased from and/or provided by TNGD shall be taken on an “as is” basis and without any warranty or condition, implied or statutory. TNGD specifically disclaims any implied warranties and conditions of merchantability and fitness for a particular purpose.  TNGD further disclaims any warranties that the Merchant Dashboard will be error-free, free of viruses, or free of other harmful components.
  1. Upgrades and Modifications: TNGD reserves the right to change, upgrade, modify, limit or suspend the Merchant Dashboard or any of its related functionalities or applications or features at any time temporarily or permanently with or without prior notice which shall also include introducing new features, functionalities or applications to the Merchant Dashboard. All new features, functionalities, applications, modifications, upgrades and alterations shall be governed by these Terms and Conditions, unless otherwise expressly stated by TNGD.
  1. No resale of Purchased Product(s): You acknowledge and agree that you are buying the Product(s) offered by TNGD for your own use or business use under the capacity of a Merchant to TNGD, and that you will not resell or permit another to resell the said purchased Product(s) to any third party.
  1. Force Majeure: TNGD shall not be liable for non-performance, interruption or delay in the performance of its obligations under these Terms and Conditions if this is due, in whole or in part, directly or indirectly to an event or failure which is beyond TNGD’s reasonable control.
  1. Governing Law and Jurisdiction: These Terms and Conditions shall be governed by the laws of Malaysia and you agree to submit to the exclusive jurisdiction of the courts of Malaysia.
  1. Definitions:

Unless otherwise specified, the following terms shall have the following meanings in these Terms and Conditions:

“Business Day” means a day (other than a Saturday, Sunday, or a public holiday) on which commercial banks are open for general banking business in Kuala Lumpur, Malaysia; 

“Checkout” shall have the meaning ascribed to it in Clause 5;

“General Terms” shall have the meaning ascribed to it in Clause 2;

“Merchandise(s)” means the product(s) offered by TNGD that can be purchased from the Merchant Dashboard by the authorised Merchant(s) of TNGD for the purposes of Merchant(s) business usage(s);

“Merchant(s)” or “You” or “Your” means any user of TNG eWallet that is a registered merchant in TNGD’s system, and includes any authorized personnel or representatives accessing the Merchant Dashboard on the Merchant’s behalf;

“Merchant Dashboard” means the online or digital platform, system, or interface made available by TNGD to the Merchant which enables the Merchant to monitor transactions, access and manage the account, and performing such other functions as may be made available by TNGD from time to time;

“Merchant Dashboard Purchase” means the feature in the Merchant Dashboard of TNG eWallet that allows the Merchant(s) to purchase the Product(s) for the purposes of their business usage;

“Product(s)” means the POSM and/or Merchandise;

“POSM(s)” means the selected Point of Sales Materials offered by TNGD to its Merchant(s) that can be purchased from the Merchant Dashboard for the purposes of Merchant(s) business usage(s) including but not limited to QR Code and QR Code standee;

“QR Code” means the “Quick Response” code consisting of black and white squares storing information readable either by (i) the camera of a mobile device containing the TNGD eWallet ; and (ii) a QR Code scanner or terminal for the purposes of facilitating DuitNow QR Service, as the case may be;

“QR Code Standee” means the customized “Quick-Response” code standee offered and/or provided by TNGD to its selected Merchant, and upon successful order by such Merchant through the TNG eWallet;

“Terms and Conditions” shall have the meaning ascribed to it in Clause 1;

“TNGD” means TNG Digital Sdn Bhd. (Registration No. 201701042478 (1256651-M)); and

“TNG eWallet” means the electronic wallet mobile application operated by TNGD.
