SOUNDBOX TAKEOVER CAMPAIGN

Terma & Syarat

​1. Campaign and Organiser

1.1 The Soundbox Takeover Campaign (“Campaign“) is organised by TNG Digital Sdn Bhd (Registration No. 201701042478 (1256651 M)) (“TNGD“).

1.2 The Campaign will run from 1st January 2026 to 31st December 2026, both dates inclusive (“Campaign Period“).

1.3 These Terms and Conditions supplement your existing TNGD Merchant Agreement and DuitNow QR terms and conditions. In case of inconsistency, these Terms and Conditions prevail only for this Campaign and the Soundbox.

 

2. Eligibility and Soundbox Provision

2.1 The Campaign is limited to 2,000 selected merchants, chosen by TNGD at its sole discretion on a first come, first served basis or otherwise (“Selected Merchants“).

2.2 Each Selected Merchant will receive one (1) Soundbox Lite (WiFi) at no charge, subject to full compliance with these Terms and Conditions.

2.3 TNGD or its authorised representative shall activate the Soundbox at your premises on the activation date (“Activation Date“), which marks the start of the 12 month commitment period (“Commitment Period“).

2.4 Until ownership transfers under Clause 5, the Soundbox remains TNGD’s property and is provided as a loaned device. You shall not sell, transfer, pledge, rent, or allow any third party to use the Soundbox.

 

3. SIM Add On (Optional Annual Subscription)

3.1 You may subscribe to an optional SIM card data package for the Soundbox at RM 80 per year, valid for 12 months from SIM activation (“SIM Validity Period”).

3.2 The SIM Add On will not automatically renew. You will need to repurchase the SIM Add On via the Merchant Dashboard before the end of the SIM Validity Period if you wish to continue using the SIM service.

3.3 By subscribing, you authorise TNGD to deduct the RM 80 fee for the SIM Validity Period purchased.

3.4 The SIM Add On fee is payable in advance for each SIM Validity Period, non-refundable, and non-transferable.

 

4. DNQR Display and Transaction Commitments

4.1 As a condition of receiving the free Soundbox, you shall:

  • display the Touch ‘n Go DuitNow QR code (“TNG DNQR”) prominently at the outlet where the Soundbox is installed, clearly visible at the point of payment;
  • promote TNG DNQR as a primary digital payment method and actively encourage customers to use it, for example, by verbally offering it as a preferred payment option;
  • accept all TNG DNQR payments from customers; and
  • ensure TNG DNQR is displayed at least as prominently as any other payment QR code and is not obscured, hidden, or subordinated to other payment methods.

4.2 You shall achieve a minimum of RM 500 in TNG DNQR transaction value per calendar month at the outlet where the Soundbox is installed for 12 consecutive months from the Activation Date (“Monthly Minimum Volume“).

 

5. Soundbox Charge and Ownership

5.1 If you fail to achieve the Monthly Minimum Volume in any single month during the Commitment Period, TNGD will invoice you RM 220 as the Soundbox price (“Soundbox Charge”).

5.2 You acknowledge that the Soundbox Charge represents reasonable compensation and cost recovery for the device and its deployment and is not a penalty.

5.3 Where the Soundbox Charge is payable, you shall pay the invoice within 14 days. Upon full payment, ownership of the Soundbox transfers to you.

5.4 If you successfully maintain the Monthly Minimum Volume for all 12 consecutive months, no Soundbox Charge is payable and ownership transfers to you automatically at the end of the Commitment Period.

5.5 If you fail to pay the Soundbox Charge when due, TNGD may set off the outstanding amount from your settlement funds and may suspend or deactivate the Soundbox and your TNG DNQR acceptance until full payment is received.

 

6. Use and Care of the Soundbox

6.1 You shall provide and maintain a stable WiFi connection or an active SIM Add On and power supply, as applicable.

6.2 You shall take reasonable care of the Soundbox, keep it safe from loss, theft, or damage (fair wear and tear excepted), and use it only to announce TNG DNQR payment notifications.

6.3 You shall not tamper with, modify, reverse engineer, or bypass any technical features of the Soundbox.

6.4 Loss, theft, or damage to the Soundbox (other than due to TNGD’s fault) may result in TNGD invoicing you the Soundbox Charge.

 

7. Monitoring and Compliance

7.1 TNGD will monitor your TNG DNQR transaction volumes to verify compliance.

7.2 TNGD may request evidence of compliance (including photos or videos of QR display and Soundbox placement) and may conduct site visits for this purpose.

7.3 You shall cooperate with all reasonable compliance requests and comply with any repositioning instructions from TNGD within 7 days of notice.

 

8. Suspension, Termination and Return

8.1 TNGD may suspend or terminate your participation in the Campaign and deactivate the Soundbox or TNG DNQR immediately if you breach these terms, including failing to meet the Monthly Minimum Volume, failing to display the TNG DNQR as required, or failing to pay the Soundbox Charge.

8.2 If you request early deactivation of the Soundbox during the Commitment Period, the Soundbox Charge may become payable.

8.3 If the Campaign is terminated before the Commitment Period ends and you have not paid the Soundbox Charge, you shall immediately return the Soundbox to TNGD.

 

9. Data, Amendments and Other Terms

9.1 TNGD will process your transaction data in accordance with its Privacy Policy for monitoring compliance, processing payments, and sending Campaign communications.

9.2 By accepting these Terms and Conditions, you explicitly consent to TNGD’s use of your transaction data to monitor your compliance with the Monthly Minimum Volume and for all other purposes set out in Clause 9.1.

9.3 TNGD may amend these Terms by giving at least 14 days’ prior notice. Your continued participation constitutes acceptance of the amendments.

9.4 These Terms shall be governed by and construed in accordance with the laws of Malaysia.

  • You shall achieve RM 500 in TNG DNQR transactions for 12 consecutive months. If you fail in any single month, TNGD will invoice you RM 220.
  • You shall display TNG DNQR prominently and ensure it is at least as prominent as any other payment QR code.
  • The RM 220 charge is for cost recovery. TNGD may deduct it from your settlement funds and suspend your service until it is paid.
  • If selected, the SIM Add On is an RM 80/year subscription that must be manually repurchased via the Merchant Dashboard before expiry, and you authorise TNGD to deduct the fee for each purchase.
