Soundbox Free Trial Campaign 2025

Terma & Syarat

These terms and conditions govern the provision and use of the Soundbox Lite device offered by TNG Digital Sdn. Bhd. under the 90-Day Free Trial Campaign. By participating in the Free Trial, you agree to be bound by these terms.

 

1.     FREE TRIAL

1.1.  The Merchant is entitled to use one (1) Soundbox per Merchant ID for a period of ninety (90) days commencing from Purchase Date.

1.2.  The Merchant shall bear the shipping fees for delivery of the Soundbox, which may vary by location.

 

2.     EXPIRATION OF FREE TRIAL

2.1.  Upon expiry of the Free Trial: 

(a)   If the Merchant retains the Soundbox, the Merchant shall be automatically enrolled in the Soundbox Daily Plan commencing on day 91. Fees shall include:

(i)  Daily Operational Contribution for two hundred nineteen (219) days; and

(ii)  Operational Contribution Renewal commencing on day two hundred twenty (220).

(b)   If the Merchant returns the Soundbox in accordance with Clause 3, no charges shall apply.

 

2.2.  The charges for the Soundbox Daily Plan is as stipulated in Appendix 1 hereunder and all payments for the Soundbox Daily Plan shall be affected via Auto Debit.

 

3.     RETURNS

3.1.  The Merchant may return the Soundbox within the Free Trial period by submitting a return request via the designated Google Form and complying with the return checklist as stipulated in Appendix 3.

3.2.  Returns shall be collected by TNGD’s authorised courier (Ninja Van) following the guideline as stipulated in Appendix 2 hereunder. After three (3) failed collection attempts, the Merchant shall be deemed to have retained the Soundbox and will be auto-enrolled into the Soundbox Daily Plan.

3.3.  Returned items are subject to inspection. If items fail inspection, TNGD may impose a charge of up to RM100, which may be deducted from the Merchant’s Touch ‘n Go eWallet.

 

4.     TITLE AND RISK

4.1.  Title in the Soundbox shall remain with TNGD until full payment of the Operational Contribution for 219 days is received.

4.2.  Risk of loss or damage passes to the Merchant upon delivery.

 

5.     DELIVERY AND REPLACEMENT

5.1.  Soundbox shall be delivered within fourteen (14) working days (excluding payment date) for West and East Malaysia.

5.2.  If a Soundbox is lost in transit or delivered in a damaged/defective condition, the Merchant shall notify TNGD within twenty-four (24) hours of receipt. Upon validation, TNGD will provide a replacement at no additional cost.

5.3.  If an incorrect item is delivered due to TNGD’s error, TNGD will arrange collection and re-delivery at no additional cost, subject to timely notification by the Merchant.

 

 

6.     USAGE AND RESTRICTIONS

6.1.  The Merchant shall:

(a)   use the Soundbox solely for its business operations;

(b)   not tamper with, modify, resell, or share the Soundbox without TNGD’s prior written consent; and

(c)   comply with all guidelines or instructions issued by TNGD.

 

6.2.  The Merchant acknowledges that all intellectual property rights in the Soundbox and related materials remain vested in TNGD.

 

7.     LIMITATIONS AND LIABILITY

7.1.  The Free Trial is limited to one unit per Merchant and one trial per MID.

7.2.  TNGD shall not be liable for any indirect, incidental, or consequential losses arising out of or in connection with the Soundbox or these Terms.

7.3.  TNGD shall not be responsible for unauthorised or fraudulent transactions by the Merchant, its customers, or third parties. All disputes shall be resolved between the Merchant and its customers/third parties.

 

8.     FORCE MAJEURE

8.1.  TNGD shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, government actions, labour disputes, or system failures.

 

9.     AMENDMENTS

9.1.  TNGD reserves the right to amend these Terms, including the applicable fees, at any time. Updated terms will take effect upon publication.

 

10.  GOVERNING LAW

10.1.   These Terms shall be governed by and construed in accordance with the laws of Malaysia.

12.  DEFINITIONS

12.1.       For the purposes of these terms:

“Free Trial” means the ninety (90) day period during which the Merchant may use the Soundbox without payment of subscription fees.

“Auto Debit” means the automatic debit of fees from the Merchant’s registered TNG eWallet account.

“Operational Contribution” means the subscription fees payable by the Merchant for the Soundbox, as determined by TNGD from time to time.

“Merchant Dashboard” means the portal accessible through the TNG eWallet app for Merchants to manage transactions, subscriptions, and purchases.

“Merchant” means the business entity registered with TNGD and authorised to use TNGD’s services.

“Soundbox” means the payment device provided by TNGD to Merchants for transaction monitoring and related functions.
